TERMS AND CONDITIONS OF SALE

Aurous Petro Pvt. Ltd.

These Terms and Conditions govern the sale and supply of bitumen and other petroleum products by Aurous Petro Pvt. Ltd. ("Company") to its customers ("Buyer").

1. Acceptance of Orders

1.1 All orders placed by the Buyer are subject to acceptance by the Company.
1.2 The Company reserves the right to reject or cancel any order without assigning any reason.

2. Pricing

2.1 Prices are subject to change without prior notice based on market fluctuations, government regulations, taxes, duties, freight charges, and raw material costs.
2.2 Applicable GST and other statutory taxes shall be charged extra unless otherwise specified.

3. Payment Terms

3.1 Payments shall be made as per the agreed terms mentioned in the invoice or purchase order.
3.2 The Company reserves the right to suspend deliveries in case of delayed or outstanding payments.
3.3 Interest may be charged on overdue payments at the rate specified in the invoice or as permitted by law.

4. Delivery

4.1 Delivery schedules are estimates only and may vary due to transportation, weather conditions, government restrictions, or other unforeseen circumstances.
4.2 Risk and responsibility for the products shall pass to the Buyer upon delivery at the agreed destination or handover to the carrier.
4.3 Any claims regarding shortages or visible damage must be reported in writing within 24 hours of delivery.

5. Quality and Inspection

5.1 The Company warrants that the products supplied shall conform to the applicable specifications at the time of dispatch.
5.2 The Buyer shall inspect the products upon receipt and notify the Company of any quality-related concerns within seven (7) days of delivery.
5.3 The Company's liability shall be limited to replacement of the defective product or refund of the purchase price, at the Company's sole discretion.

6. Storage and Handling

6.1 The Buyer shall ensure proper storage, handling, transportation, and usage of bitumen and petroleum products in accordance with applicable safety regulations and industry standards.
6.2 The Company shall not be liable for any damage, loss, contamination, or deterioration resulting from improper storage or handling by the Buyer.

7. Cancellation and Returns

7.1 Orders once confirmed may not be cancelled without the Company's written consent.
7.2 Returns of products shall not be accepted unless expressly approved in writing by the Company.

8. Limitation of Liability

8.1 The Company shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from the sale, delivery, or use of its products.
8.2 The Company's maximum liability shall not exceed the value of the products supplied under the relevant invoice.

9. Force Majeure

The Company shall not be responsible for any delay or failure in performance due to events beyond its reasonable control, including but not limited to natural disasters, strikes, government actions, transportation disruptions, war, pandemic, or shortages of raw materials.

10. Compliance with Laws

The Buyer shall comply with all applicable laws, regulations, environmental requirements, and safety standards relating to the transportation, storage, and use of the products.

11. Ownership of Goods

Ownership of the goods shall remain with the Company until full payment has been received from the Buyer.

12. Dispute Resolution

Any dispute arising out of or in connection with these Terms and Conditions shall first be resolved through mutual discussion. Failing such resolution, the dispute shall be subject to the jurisdiction of the courts where the Company's registered office is located.

13. Governing Law

These Terms and Conditions shall be governed and construed in accordance with the laws of India.

14. Amendment

The Company reserves the right to modify these Terms and Conditions at any time without prior notice.

By placing an order with Aurous Petro Pvt. Ltd., the Buyer acknowledges and agrees to be bound by these Terms and Conditions.
